1. Acceptance of Terms
By accessing or using Calwise ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use the Service.
These Terms apply to all visitors, users, and others who access or use the Service, including customers, trial users, and early-access participants.
2. Description of Service
Calwise is a meeting cost analytics platform that integrates with Google Calendar and Microsoft Outlook to automatically calculate, track, and report on the financial cost of business meetings within organisations. The Service is delivered via web application and browser extensions (Chrome and Microsoft Edge).
Access to the Service may be provided on a subscription basis, a free tier, or an early-access basis, as described at calwise.io/pricing.
3. Early Access Programme
By joining the Calwise early-access programme, you acknowledge and accept that:
- The Service is still under active development and may not be feature-complete
- Features, interfaces, and integrations may change, be added, or be removed without prior notice
- We do not guarantee uninterrupted, error-free availability of the Service during this phase
- Early-access access is granted at our sole discretion and may be withdrawn at any time
In exchange for early access, we may ask you to provide feedback on the product. Your participation in feedback sessions is voluntary.
4. User Obligations
By using the Service, you agree to:
- Provide accurate, current, and complete information during registration and onboarding
- Maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access
- Use the Service only for lawful purposes and in compliance with all applicable laws and regulations
- Not attempt to reverse-engineer, decompile, disassemble, or otherwise derive source code from the Service
- Not copy, reproduce, redistribute, or resell the Service or any part of it without our written permission
- Not use the Service to store, transmit, or process data in violation of any applicable privacy law
- Ensure that employee salary data uploaded to the platform has been collected and processed in accordance with applicable employment and data protection law
5. Intellectual Property
All content, software, trademarks, service marks, logos, and intellectual property associated with Calwise are the exclusive property of Calwise Ltd or its licensors. All rights are reserved.
Nothing in these Terms grants you any right to use our trademarks, logos, or brand features without our prior written consent. You may not use the Calwise name or logo in any way that implies endorsement, affiliation, or partnership without explicit written authorisation.
You retain all rights to data you upload to the platform (including employee salary data). By uploading data, you grant us a limited licence to process that data solely to provide the Service to you.
6. Data and Privacy
Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
For customers uploading employee salary data, we act as a data processor on your behalf. A Data Processing Agreement (DPA) is available upon request and governs how we handle that data in accordance with GDPR and applicable law.
By using the Service, you represent and warrant that you have obtained all necessary consents and have a lawful basis for processing any personal data you upload, including employee salary information.
7. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis, without warranties of any kind — either express or implied — including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any meeting cost calculations produced by the Service, which are estimates based on data you provide.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Calwise Ltd and its founders, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, the Service.
This includes, without limitation, loss of profits, loss of data, loss of goodwill, business interruption, or any other commercial damages or losses.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount paid by you to Calwise in the 12 months preceding the claim, or €100, whichever is greater.
9. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We shall not be liable to you for any such modification, suspension, or discontinuation.
We may update these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. For material changes, we will notify registered users by email at least 14 days before the change takes effect. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.
Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Italy, unless mandatory consumer protection laws in your country of residence provide otherwise.
